Terms and Conditions

These Terms and Conditions govern your access to and use of the hosting, cloud, domain-related, and other services provided by UnicyCloud™.

By creating an account, purchasing, renewing, accessing, or using any UnicyCloud service, you acknowledge that you have read, understood, and agreed to these Terms and Conditions, together with any additional policies or agreements applicable to the specific service you purchase.

1. Acceptance of Terms

By accessing, purchasing, or using UnicyCloud™ services, you agree to comply with and be bound by these Terms and Conditions.

If you do not agree with these Terms, you must not purchase or use our services.

If you are using our services on behalf of a company, organization, or other legal entity, you represent that you have the authority to accept these Terms on its behalf.

2.Description of Services

UnicyCloud™ provides web hosting, cloud infrastructure, domain-related services, email hosting, server resources, technical support, and other related digital services depending on the product or plan purchased.

Features, storage, bandwidth, server resources, support levels, software, and other specifications may vary depending on the selected service.

We make reasonable efforts to provide reliable and secure services. However, no hosting, cloud, network, or Internet-based service can be guaranteed to operate without interruption, maintenance, technical incidents, third-party failures, or other circumstances beyond our reasonable control.

Unless a specific Service Level Agreement (“SLA”) expressly states otherwise, uptime figures or service availability information should not be interpreted as a guarantee of uninterrupted service.

3. Account Information and Security

You are responsible for providing accurate and current account, contact, and billing information.

You are responsible for maintaining the confidentiality and security of your account credentials, passwords, API credentials, control panel access, FTP/SFTP accounts, email accounts, and any other authentication information associated with your services.

You are responsible for activities performed through your account unless otherwise required by applicable law.

If you suspect unauthorized access or a security compromise, you should contact UnicyCloud™ Support promptly.

4. Customer Responsibilities

You are responsible for the websites, applications, files, databases, email accounts, scripts, software, and other content hosted or operated through your account.

You agree not to use our services to:

  • engage in unlawful, fraudulent, abusive, or malicious activities;
  • distribute malware, ransomware, viruses, malicious scripts, or other harmful software;
  • conduct unauthorized hacking, scanning, exploitation, or attacks against systems or networks;
  • send spam, phishing messages, or other abusive communications;
  • infringe intellectual property or other legal rights;
  • host or distribute content prohibited by applicable law;
  • intentionally interfere with the operation, security, stability, or performance of our infrastructure or other customers’ services; or
  • use server resources in a manner that materially and repeatedly disrupts shared infrastructure or other customers.

We may investigate suspected abuse and take reasonable action when necessary to protect our customers, infrastructure, network, suppliers, and services.

5. Shared Hosting and Resource Usage

Certain UnicyCloud™ services operate in shared hosting environments where multiple customers may use the same physical or virtual infrastructure.

Customers using shared hosting must use resources reasonably and in accordance with the limits of their hosting plan.

Excessive CPU usage, memory consumption, disk I/O, database activity, email activity, network traffic, processes, or other resource usage that negatively affects server stability or other customers may result in temporary limitations, suspension, or a request to upgrade to a more appropriate service.

Whenever reasonably possible, we will attempt to contact the customer before taking significant action, except where immediate intervention is necessary to protect security, infrastructure, other customers, or service availability.

6. Payments and Billing

You agree to pay all fees associated with the services you purchase.

Prices, billing periods, renewal frequencies, and applicable fees are presented when ordering a service or within your customer account.

Depending on the service, billing may occur monthly, annually, or according to another billing period disclosed at the time of purchase.

You are responsible for maintaining valid billing and payment information.

Failure to pay an invoice when due may result in suspension, restriction, or termination of the affected service.k.

7. Automatic Renewal

Services configured for automatic renewal will renew automatically unless automatic renewal is disabled or the service is cancelled before the renewal transaction is processed.

Certain services may be processed before their official renewal or expiration date to reduce the risk of interruption or expiration.

For domain names in particular, renewal transactions may be initiated approximately 2 to 3 days before the official expiration or renewal date.

Customers who do not wish to renew a service are responsible for cancelling the service or disabling automatic renewal before the applicable renewal transaction is processed.

Renewal reminders may be provided as a courtesy through our automated systems. However, customers remain responsible for monitoring their services, renewal settings, account information, and billing status.

8. Cancellation

You may request cancellation of an eligible service through your customer account or through the cancellation method provided by UnicyCloud™.

A cancellation request affects future service only and does not automatically reverse a payment or renewal transaction that has already been processed.

Customers should submit cancellation requests sufficiently in advance of the next renewal date.

If a renewal has already been processed, the applicable refund policy for that service will apply.

Stopping use of a service, removing a website, changing DNS settings, transferring content elsewhere, or failing to use an account does not by itself constitute cancellation.

You remain responsible for cancelling the service through the appropriate cancellation process.

9. Refunds

Refund eligibility depends on the type of service purchased and any refund policy specifically associated with that service.

Unless otherwise expressly stated, fees already earned or services already provided are not refundable solely because the customer no longer uses or requires the service.

Unused portions of an active billing period are not automatically eligible for a prorated refund.

Certain third-party products, licenses, setup fees, professional services, custom work, SSL certificates, add-ons, and other externally purchased or immediately provisioned products may be non-refundable once ordered, activated, or delivered.

Nothing in this section limits any refund, cancellation, or consumer rights that cannot legally be excluded under applicable law.

10. Domain Names

Domain registrations and renewals are governed by our separate Domain Registration Agreement, as well as the rules and policies of the applicable registrar, registry, and governing authority.

Completed domain registrations and renewals are generally final and non-refundable once processed, because these transactions are submitted to third-party domain providers and generally cannot be reversed or refunded to UnicyCloud™.

Customers who do not wish to renew a domain must disable automatic renewal or cancel the renewal before the transaction is processed.

A domain name and a hosting service are separate services. Cancelling hosting does not automatically cancel a domain name, and cancelling or transferring a domain name does not automatically cancel hosting or other services associated with the account.

Customers are responsible for reviewing and cancelling each service they no longer require.

11. Third-Party Services

Certain UnicyCloud™ services may rely on third-party providers, including domain registrars, data centres, network providers, software vendors, licensing providers, payment processors, certificate authorities, APIs, and other infrastructure or technology partners.

UnicyCloud does not control all aspects of third-party services and cannot guarantee their uninterrupted availability.

Third-party products and services may also be subject to separate terms, policies, restrictions, and fees imposed by their respective providers.

12. Backups and Customer Data

UnicyCloud™ may provide backup functionality with certain hosting plans or services.

Unless expressly included in a specific service agreement, backups are provided as an additional protective measure and should not be considered the customer’s sole backup solution.

Customers remain responsible for maintaining appropriate independent copies of important websites, databases, emails, files, configurations, and other data.

Although we take reasonable measures to protect hosted data, we cannot guarantee that every backup will always be available, complete, current, or recoverable.

13. Security and Compromised Websites

Customers are responsible for maintaining their applications, websites, plugins, themes, extensions, passwords, and other software in a reasonably secure and updated condition.

If a website, application, or account becomes compromised, infected, or creates a security risk to our infrastructure or other customers, UnicyCloud™ may temporarily restrict, isolate, disable, or suspend the affected service.

Where practical, we will notify the customer and provide information regarding the issue.

Additional remediation, malware removal, development, restoration, or security services may be subject to additional fees unless included in the customer’s plan.

14. Suspension and Termination

UnicyCloud™ may suspend or terminate a service when reasonably necessary due to:

  • non-payment;
  • violation of these Terms;
  • illegal or abusive activity;
  • security incidents or compromised services;
  • excessive resource consumption affecting shared infrastructure;
  • fraud or suspected fraud;
  • legal or regulatory requirements;
  • requests or requirements from upstream providers; or
  • circumstances that threaten our infrastructure, network, customers, or reputation.

Where reasonably possible, we will provide notice before suspension or termination. Immediate action may be taken where necessary to address security, abuse, legal, fraud, or infrastructure risks.

15. Data Following Cancellation or Termination

When a hosting or cloud service is cancelled, terminated, or expires, access to the associated data may be suspended or removed.

Customers are responsible for downloading or transferring any required data before the service terminates.

UnicyCloud™ is not obligated to retain customer data indefinitely following cancellation, expiration, or termination.

After the applicable retention period, if any, websites, databases, emails, files, backups, and other account data may be permanently deleted and may no longer be recoverable.

16. Service Migration and Transfers

Where migration assistance is offered, the scope of migration depends on the service purchased and the technical compatibility of the source environment.

We cannot guarantee that every website, application, email account, database, configuration, plugin, script, or third-party service will function identically after migration.

Customers are responsible for reviewing and testing migrated services.

Additional development or remediation work required because of incompatible or outdated software may be subject to additional fees.

17. Chargebacks and Payment Disputes

If you believe a charge is incorrect, you should contact UnicyCloud™ Support so that we can investigate the transaction.

Initiating a payment dispute or chargeback does not automatically cancel the underlying service.

Where permitted by applicable law and payment-provider rules, services associated with an unpaid, reversed, or disputed transaction may be suspended while the matter is investigated.

Fraudulent or abusive chargebacks may result in account restrictions or termination.

18. Intellectual Property

You retain ownership of the content you upload or host through our services, subject to any rights necessary for us to operate and provide the services.

You must have the necessary rights and permissions for all content, software, images, trademarks, code, and other materials hosted through your account.

UnicyCloud™ trademarks, branding, software, documentation, website content, and proprietary systems remain the property of their respective owners and may not be copied or used without authorization.

19. Limitation of Liability

To the maximum extent permitted by applicable law, UnicyCloud™ will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of or inability to use our services.

This may include, where legally permitted, loss of revenue, business interruption, loss of data, loss of profits, or loss of business opportunities.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

20. No Absolute Security or Availability Guarantee

While UnicyCloud™ implements reasonable technical and operational measures to provide reliable and secure services, no Internet-connected system can be guaranteed to be completely secure, continuously available, or free from vulnerabilities.

Service interruptions may occur because of maintenance, software failures, network incidents, cyberattacks, third-party outages, hardware failures, force majeure events, or circumstances outside our reasonable control.

21. Changes to Services

We may modify, replace, update, discontinue, or change certain features of our services when reasonably necessary for security, technical, operational, supplier, or regulatory reasons.

Where a change materially affects an active paid service, we will make reasonable efforts to provide appropriate notice where practicable.

22. Changes to These Terms

We may update these Terms and Conditions to reflect changes to our services, business practices, supplier requirements, security requirements, or applicable laws and regulations.

Material changes may be communicated by email, through the customer portal, or by notice on our website.

The effective date displayed at the beginning of these Terms indicates when the current version became effective.

23. Governing Law

These Terms and Conditions are governed by the laws applicable in the Province of Quebec and the federal laws of Canada applicable therein, subject to any mandatory consumer protection or other legal provisions that may apply.

Nothing in these Terms is intended to waive rights or protections that cannot legally be waived.

24. Support and Questions

If you have questions about your services, invoices, renewals, cancellations, or these Terms and Conditions, please sign in to your UnicyCloud™ account and open a support ticket.

For billing or cancellation matters, we recommend contacting us before the applicable renewal transaction is processed.
